As part of a major consolidation effort, French IT provider Capgemini has announced the acquisition of Indian-origin outsourcing company WNS for $3.3 billion, solidifying its commitment to AI-powered services and deepening its position in India.Ā
The acquisition, which is an all-cash transaction funded internally by Capgemini, is expected to close by the end of Q4 2025, subject to approvals in the US and India.
WNS started in 1996 as a British Airways BPO in Mumbai and has grown into a leading digital outsourcing company employing more than 60,000 people; 60% of its staff are in India. Capgemini will now take on WNS’s $3.2 billion in revenue, continuing to build on the strong foundation of Capgemini’s industry expertise established in its 2015 acquisition of IGATE.

Capgemini’s CEO, Aiman Ezzat, said the acquisition reflects a desire to respond to an increase in demand from customers for integrated business process solutions that employ AI to “automate business processes with intelligence.” WNS has strong domain expertise in insurance, travel, banking, and utilities, industries that are primed for digital transformation.
WNS’s CEO, Keshav Murugesh, said the acquisition paves the way for clients and employees while also promising greater scale and technological depth. “Both Capgemini and WNS had the same vision for the future of the companies as well as the future,” Murugesh concluded by alluding to the significance of this acquisition and how it will shape the future of outsourcing for customers, a magical union of industry expertise and real AI.
